• You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
• The Platform shall not be liable for any loss or damage arising from your failure to comply with this section.
• We reserve the right to suspend, deactivate, or terminate any account at our sole discretion, with or without notice, for any reason, including suspected fraud, abuse, or violation of these Terms.

4. Platform Role & Disclaimer

• Mesukosei.com is a neutral online marketplace venue that facilitates the listing, sale, and purchase of goods between independent buyers and sellers.
• The Platform does not own, possess, inspect, authenticate, appraise, or take custody of any items listed or sold.
• The Platform is not a party to any transaction between buyers and sellers. All transactions are conducted directly between the respective parties.
• The Platform does not act as an agent, broker, dealer, or consignor for any user.
• The Platform makes no representations or warranties regarding the quality, safety, legality, authenticity, or fitness for a particular purpose of any item listed.

5. Seller Obligations & Representations

By listing items for sale on the Platform, sellers represent, warrant, and agree to the following:

• All item descriptions, images, and disclosures are accurate, complete, and not misleading in any material respect.
• All listed items are legally owned by the seller, free of liens and encumbrances, and the seller has full authority to sell them.
• No listed items infringe upon any third-party intellectual property rights, including but not limited to trademarks, copyrights, patents, or trade dress.
• No listed items are counterfeit, stolen, recalled, prohibited, or restricted by applicable law.
• All uploaded images and content comply with our Content Policy and all applicable laws, including obscenity and child protection statutes.
• Sellers will ship items promptly after payment confirmation and provide valid, verifiable tracking information.
• Sellers are solely responsible for compliance with all applicable laws and regulations, including but not limited to consumer protection, product safety, tax (including sales tax, VAT, and income tax), customs, import/export, and labeling requirements.
• Sellers acknowledge that failure to comply with these obligations may result in listing removal, account suspension or termination, forfeiture of pending funds, and potential legal action.

6. Buyer Acknowledgments & Responsibilities

• All purchases are made at the buyer's sole discretion and risk.
• The Platform does not guarantee item authenticity, condition, quality, legality, description accuracy, or fitness for any purpose.
• Buyers are responsible for reviewing item descriptions, images, and seller information before completing a purchase.
• Buyers acknowledge that pre-owned items may have wear, imperfections, or characteristics not fully captured in listings.
• In the event of non-delivery, buyers may request a refund subject to our dispute resolution process, verification, and seller cooperation. Refund eligibility is not guaranteed.
• Buyers are responsible for any applicable import duties, customs fees, or taxes in their jurisdiction.

7. Tokens, Virtual Currency & Tipping

• The Platform offers a virtual token system ("Tokens") that may be purchased with real currency or received as promotional grants.
• Tokens are a limited-license digital good for use exclusively within the Platform. Tokens have no cash value, are non-refundable, non-transferable (except via the Platform's tipping feature), and cannot be redeemed for cash or any form of legal tender.
• Promotional or complimentary Tokens (including welcome bonuses) are granted at the Platform's sole discretion and may be revoked, modified, or discontinued at any time without notice or liability.
• Tokens may be used to send tips to sellers through the Platform's tipping feature. Tips are voluntary, non-refundable, and constitute a final transaction once sent.
• The Platform reserves the right to modify Token pricing, conversion rates, functionality, and availability at any time without prior notice.
• The Platform reserves the right to void, revoke, or adjust Token balances in cases of fraud, abuse, system error, or violation of these Terms.
• Upon account termination (whether by you or by us), all Token balances are forfeited and will not be refunded or compensated.
• Tokens do not constitute property, do not earn interest, and do not create any fiduciary or trust relationship between you and the Platform.

8. Payments & Financial Terms

• All payments are processed through third-party payment providers (currently PayPal). The Platform does not directly store, process, or handle credit card or banking information.
• By making a purchase, you agree to the terms and policies of the applicable payment provider in addition to these Terms.
• All prices are listed in U.S. Dollars (USD) unless otherwise specified.
• The Platform is not responsible for any fees, charges, or currency conversion costs imposed by your bank, payment provider, or financial institution.
• The Platform reserves the right to cancel, reverse, or refuse any transaction suspected of fraud, error, or Terms violation.

9. Shipping, Delivery & Risk of Loss

• Sellers are solely responsible for all shipping logistics, packaging, costs, carrier selection, and delivery.
• Risk of loss and title for purchased items pass from the seller to the buyer upon delivery to the shipping carrier.
• The Platform does not handle, manage, insure, or intervene in shipping processes and assumes no liability for lost, damaged, delayed, or misdirected shipments.
• Buyers and sellers are individually responsible for resolving shipping disputes, with the Platform providing limited mediation assistance at its discretion.

10. Refunds, Returns & Dispute Resolution

• Individual sellers may establish their own return and refund policies, provided they comply with applicable consumer protection laws.
• The Platform may, at its sole discretion, assist in mediating disputes between buyers and sellers but is under no obligation to do so and does not guarantee any particular outcome.
• Any refund processed through the Platform is subject to verification, and the Platform reserves the right to deny refund requests that appear fraudulent, abusive, or unsupported by evidence.
• Chargebacks or payment reversals initiated without good faith may result in account suspension, termination, and collection action.

11. Prohibited Conduct

You agree not to engage in any of the following:

• Listing, selling, or purchasing counterfeit, stolen, illegal, or prohibited items.
• Providing false, misleading, or fraudulent information in any context.
• Manipulating prices, feedback, ratings, or search results.
• Harassing, threatening, defaming, or intimidating any user.
• Attempting to circumvent Platform fees, security measures, or access controls.
• Using bots, scripts, scrapers, or automated tools to access, collect, or interact with the Platform without written authorization.
• Uploading content that is obscene, pornographic, defamatory, hateful, discriminatory, or that exploits minors.
• Engaging in money laundering, terrorist financing, or other financial crimes.
• Impersonating any person, business, or entity.
• Creating multiple accounts to evade suspension, termination, or enforcement actions.
• Interfering with Platform operations, infrastructure, or other users' ability to use the Platform.
• Any other conduct that the Platform, at its sole discretion, deems harmful, abusive, or disruptive.

12. Intellectual Property

• All Platform content, including but not limited to the name "Mesukosei," logos, design, layout, software, code, text, and graphics, is the property of Mesukosei.com or its licensors and is protected by U.S. and international copyright, trademark, and intellectual property laws.
• Users retain ownership of content they upload but grant Mesukosei.com a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, display, and distribute such content in connection with operating and promoting the Platform.
• Sellers must not list items that infringe on third-party intellectual property rights. The Platform will respond to valid DMCA takedown notices and reserves the right to remove infringing content without notice.
• Repeat intellectual property infringers may be permanently banned from the Platform.

13. User-Generated Content & Messaging

• Users are solely responsible for all content they create, upload, transmit, or display on the Platform, including listings, messages, reviews, images, and profile information.
• The Platform reserves the right to review, moderate, edit, or remove any user-generated content at its sole discretion, without notice or liability.
• The Platform's messaging system is provided for legitimate, Platform-related communications only. Misuse of messaging for spam, solicitation, harassment, or off-platform transaction facilitation is prohibited.
• The Platform may monitor communications to the extent permitted by law to enforce these Terms and protect user safety.

14. Privacy & Data

• Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference.
• By using the Platform, you consent to the collection, processing, storage, and use of your information as described in the Privacy Policy.
• The Platform employs reasonable security measures but cannot guarantee absolute security of user data. You acknowledge the inherent risks of transmitting information over the internet.

15. Disclaimer of Warranties

THE PLATFORM, INCLUDING ALL CONTENT, FEATURES, AND SERVICES, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
• WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT, INFORMATION, OR SERVICES PROVIDED THROUGH THE PLATFORM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES. IN SUCH JURISDICTIONS, THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

• IN NO EVENT SHALL MESUKOSEI.COM, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.
• THE TOTAL AGGREGATE LIABILITY OF MESUKOSEI.COM FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO MESUKOSEI.COM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
• THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF MESUKOSEI.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

17. Indemnification

You agree to indemnify, defend, and hold harmless Mesukosei.com, its owners, officers, directors, employees, affiliates, agents, licensors, and service providers (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, suits, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

• Your access to or use of the Platform.
• Any content you create, upload, transmit, or display on the Platform.
• Your violation of these Terms or any applicable law or regulation.
• Your violation of any third-party rights, including intellectual property, privacy, or contractual rights.
• Any transaction or dispute between you and another user.
• Any tax obligations arising from your activities on the Platform.

This indemnification obligation shall survive termination of your account and these Terms.

18. Arbitration & Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

• Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or any transaction conducted through the Platform shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court.
• Class Action Waiver: YOU AND MESUKOSEI.COM AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING.
• Small Claims Exception: Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.
• Opt-Out: You may opt out of this arbitration provision by sending written notice to support@mesukosei.com within 30 days of first accepting these Terms. Opting out does not affect any other provision of these Terms.

19. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles.

For any disputes not subject to arbitration, you irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in Bexar County, Texas, and you waive any objection to such jurisdiction or venue, including on the grounds of inconvenient forum.

20. Termination

• The Platform may suspend, deactivate, or permanently terminate your account and access at any time, for any reason or no reason, with or without notice, including but not limited to violation of these Terms.
• You may terminate your account at any time by contacting support@mesukosei.com.
• Upon termination: (a) your right to use the Platform ceases immediately; (b) all Token balances are forfeited; (c) the Platform may retain your data as required by law or for legitimate business purposes; (d) sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 15–19 (Disclaimers, Liability, Indemnification, Arbitration, Governing Law).

21. Force Majeure

The Platform shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, acts of God, war, terrorism, riots, pandemics, epidemics, government orders, labor disputes, utility failures, cyberattacks, or third-party service provider failures.

22. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

23. Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Mesukosei.com regarding your use of the Platform and supersede all prior or contemporaneous agreements, understandings, representations, and warranties, whether oral or written.

24. Waiver

The failure of Mesukosei.com to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any term shall not be deemed a continuing or further waiver of such term or any other term.

25. Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. Mesukosei.com may freely assign, transfer, or delegate its rights and obligations under these Terms without restriction and without notice to you.

26. Notices

Notices to you may be made via the Platform's messaging system, email to the address associated with your account, or by posting on the Platform. You agree that such notices satisfy any legal requirement that communications be in writing. Notices to us must be sent to support@mesukosei.com.

27. Third-Party Services & Links

• The Platform may contain links to or integrations with third-party websites, services, or applications (including payment processors). The Platform is not responsible for, does not endorse, and makes no representations regarding the content, accuracy, availability, or practices of any third-party services.
• Your interactions with third-party services are governed by those third parties' own terms and policies.

28. Anti-Fraud & Platform Integrity

• The Platform reserves the right to investigate and take appropriate action against suspected fraudulent, abusive, or illegal activity, including but not limited to account suspension, termination, reporting to law enforcement, and cooperation with legal investigations.
• The Platform may use automated tools, rate limiting, and manual review to detect and prevent fraud and abuse.

29. Modifications to These Terms

• Mesukosei.com reserves the right to modify, amend, or replace these Terms at any time at its sole discretion.
• Material changes will be communicated via the Platform's banner system, messaging, or email. Non-material changes may be posted without additional notice.
• Your continued use of the Platform after any modifications constitutes your binding acceptance of the revised Terms. If you do not agree to the revised Terms, you must immediately discontinue use of the Platform.
